The Client

Our client is an independent and progressive energy business focussed on the UK Continental Shelf. They are funded to execute a plan to grow the current business with high quality assets. As a result of this growth focus and to maintain and improved current operations, they require a Senior Legal Advisor to join the team on a permanent basis.

Job Overview

This is a broad role which is set up to provide legal support and advice to various areas within the business including joint venture negotiations, product transportation agreements, product sales and marketing. In addition the post holder will oversee the legal and commercial aspects of the procurement of goods and services, acquisitions & divestments of assets and disputes.

Support to teams dealing with the regulators will also be required. The individual will require to support key stakeholders across several key business areas and work collaboratively within the Legal and Commercial team.


Roles and Responsibilities

  • Monitoring changes in relevant legislation and the regulatory environment and taking the appropriate actions as required to remain compliant
  • Liaising with external regulators and advisers, such as external law firms
  • Providing legal advice in relation to all aspects of the business
  • Advising on regulatory compliance issues, in particular in relation to production licences under the Petroleum Act and also in relation to matters involving OGA, BEIS and HSE. Experience of working with these regulators and understanding their powers and obligations is essential.
  • Drafting and negotiating a wide range of commercial agreements relating to both operated and non-operated assets; including SPAs, JOAs, Transportation Agreements, Product Sales etc.
  • Providing support to business development activities; in due diligence and other elements of corporate transactions
  • Liaison with and provide support to the supply chain in relation to procurement for production operations and capital projects
  • Assisting with the establishment, liquidation and management of subsidiaries, and advising on subsidiary governance

Key competencies and experience

  • Can demonstrate sound experience in all aspects of upstream activities including negotiation and drafting of UKCS oil and gas agreements
  • Working knowledge of industry standard agreements and practices
  • A strong understanding of upstream E&P activity where practical experience must be demonstrated
  • Comprehensive understanding of the key strategic drivers relevant to upstream operations and the risks that require to be mitigated against
  • Excellent written and verbal communications skills
  • Good interpersonal skills and demonstrated ability to work in cross functional teams
  • Strong team player with the ability to prioritise, multi-task and work with minimal supervision

Education and Qualifications

  • A qualified solicitor
  • Post qualification experience in a similar role (private practice or in-house) required.
